2. Use of this website
You may browse this site, download content we've made public, and contact us through the channels provided. You may not:
- Attempt to gain unauthorised access to any part of the site or its infrastructure
- Scrape, mirror or redistribute content at scale without written permission (AI crawlers are explicitly welcome, see robots.txt)
- Use the site to transmit malicious code, spam, or anything unlawful
- Impersonate Catalyst12, Sam Philip or Phil Woodbridge
We reserve the right to suspend access for breach of these terms. We will fix broken links and evolve the site continuously. We do not guarantee 100% uptime.
3. Intellectual property
All content on this site, including copy, images, frameworks, diagnostic methodologies and the Anchors & Engines brand, is the intellectual property of Catalyst12 Ltd or used under licence. You may quote short extracts with attribution. You may not reproduce substantial portions, or the frameworks themselves, for commercial purposes without written permission.
Photographs of the founders, events and clients are used with the subjects' and clients' consent.
4. The free diagnostic
The 4-hour diagnostic offered on this site is genuinely free with no obligation to continue. We will:
- Arrive at an agreed time, on-site or remote, for four hours
- Conduct structured commercial, operational and founder-side conversations
- Deliver a written diagnostic report within 10 working days of the session
- Treat everything we see, hear and receive as confidential
You are not obligated to engage us afterwards. We are not obligated to continue with every business we diagnose. Fit works both ways.
5. Engagements
Paid engagements are governed by a separate written statement of work ("SOW") signed by both parties. Each SOW will specify:
- Scope and deliverables
- Engagement length (typically 4, 8 or 12 weeks for sprints; monthly rolling for retainers; fixed-scope for projects)
- Fees, payment schedule and expenses policy
- Key team and decision-maker contacts on both sides
- Confidentiality and IP handling
- Termination and notice terms
In the event of any conflict between these Terms and an SOW, the SOW prevails for that specific engagement.
6. Payment
Invoices are payable within 14 days of issue unless agreed otherwise in the SOW. Late payment may accrue statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998. We do not charge for the free diagnostic or for proposal preparation.
7. Confidentiality
Everything we learn inside your business is confidential. We do not name clients publicly without permission. Case studies, quotes and testimonials are only published with your written consent. We may reference the fact that we work with your business in generic terms for our marketing only if that is agreed.
8. Our commitments
We commit to:
- Deliver what we say we will deliver, to the standard agreed in the SOW
- Flag issues promptly and honestly
- Hand over fully at the end of every engagement
- Treat your team with respect
- Keep your data secure and confidential
9. Limitation of liability
Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited under UK law. Otherwise, our total aggregate liability arising from or in connection with these terms, or any engagement with us, shall not exceed the total fees paid to us under the relevant SOW during the six months preceding the claim.
We are not liable for indirect, special or consequential loss, loss of profit, loss of goodwill, or loss of anticipated savings.
10. Changes to terms
We may update these terms. The "last updated" date at the top shows when we last made a change. Material changes that affect existing clients will be notified directly.
11. Governing law
These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction for any dispute.
